Terms of Use

Short version. TeamLaboration Solo tier is provided as-is. You're responsible for your own API key usage with the AI provider you configure. We make no warranty about fitness for any particular purpose.

1. Acceptance

TeamLaboration is provided by May 32 LLC ("May 32", "we", "us", or "our"). These Terms apply to the TeamLaboration software, the TeamLaboration website, and any related services provided by May 32 LLC.

By downloading or using TeamLaboration you agree to these terms. If you do not agree, do not use the software. You must be at least 13 years old, or the minimum age required by applicable law in your jurisdiction, to use the software and related services.

2. The software

TeamLaboration Solo is provided free of charge. Additional plans or commercial offerings may be subject to separate terms. It is licensed, not sold. {LEGAL_TODO: license name and link to LICENSE file.}

For the Solo tier, TeamLaboration operates locally on your device and communicates directly with the AI provider you configure. May 32 LLC does not provide or operate the AI inference service used to generate responses.

3. Intellectual property

Except for rights expressly granted under the applicable license, May 32 LLC retains all right, title, and interest in and to TeamLaboration and related intellectual property.

4. Third-party AI providers

TeamLaboration may support one or more third-party AI providers. You are responsible for obtaining and maintaining any required API credentials. TeamLaboration is not affiliated with, endorsed by, or responsible for the services of any third-party AI provider. Your use of third-party services is governed by the terms and policies of the applicable provider, and you are solely responsible for any fees, charges, or obligations associated with those services.

5. Acceptable use

You may not:

• use the software in violation of applicable law;
• attempt to interfere with or disrupt the software or website;
• reverse engineer, decompile, or modify the software except to the extent permitted by applicable law;
• use the software to infringe the rights of others;
• use the software in violation of applicable export control, sanctions, or trade laws.

5a. Website account

If you create an account on teamlaboration.com, you agree not to (a) post content that is unlawful, harassing, infringing or off-topic for a product feedback board; (b) attempt to access another user's account or our infrastructure beyond what is intended by the public APIs; (c) automate vote, comment or signup actions. We may suspend or terminate accounts that violate these rules. You can delete your account at any time from the Account page.

6. AI-generated content

AI-generated content may be inaccurate, incomplete, misleading, offensive, or unsuitable for a particular purpose. You are responsible for reviewing and validating any output generated through TeamLaboration before relying on it.

7. No professional advice

TeamLaboration does not provide legal, financial, medical, tax, investment, or other professional advice. Any information generated through TeamLaboration should not be treated as a substitute for professional advice.

8. Disclaimer of warranty

The software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAY 32 LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THE SOFTWARE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF MAY 32 LLC FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SOFTWARE OR SERVICES SHALL NOT EXCEED US $100.

10. Termination

We may suspend or terminate access to the website or related services at any time if we reasonably believe you have violated these Terms or applicable law.

Sections 3, 6, 7, 8, 9, 12, and 13 shall survive termination of these Terms.

11. Changes

We may update these Terms from time to time. The updated version will be posted on our website with a revised effective date. Continued use of the software or services after the effective date of updated Terms constitutes acceptance of the revised Terms.

12. Governing law

These terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-law provisions. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Westchester County, New York.

13. Entire agreement

These Terms constitute the entire agreement between you and May 32 LLC regarding the software and related services.
